Guardian Labs Affiliate Program Terms & Conditions
Effective Date: September 15, 2026
These Affiliate Program Terms & Conditions (“Terms”) govern participation in the Guardian Labs Affiliate Program (“Program”). By applying for, accessing, or participating in the Program, you agree to these Terms.
Guardian Labs reserves the right to approve or deny any affiliate application at its sole discretion.
1. Affiliate Account Types
The Program offers two affiliate account types.
Individual Affiliate
An Individual Affiliate operates independently and receives a unique referral link and/or promotional code. Monthly qualifying sales attributed to that affiliate determine the applicable commission tier.
Partner Affiliate
A Partner Affiliate may operate as a gym, business, organization, or other approved partner and may have approved sub-affiliates associated with its account.
Commission generated through the Partner Affiliate structure may be divided between the Partner Affiliate and its associated sub-affiliate according to the commission structure established by Guardian Labs. Unless otherwise agreed in writing, the standard Partner Affiliate split is 50/50 between the Partner Affiliate and sub-affiliate.
2. Commission Structure
Affiliate commission rates are based on qualifying net sales generated during each calendar month:
- $0.00 to $999.99: 10%
- $1,000.00 to $2,999.99: 25%
- $3,000.00 to $4,999.99: 30%
- $5,000.00 to $6,999.99: 35%
- $7,000.00 or more: 40%
Commission tiers reset at the beginning of each calendar month.
Guardian Labs uses a retroactive monthly commission structure. When an affiliate reaches a higher commission tier, the applicable rate for that tier is applied to all qualifying net affiliate sales generated during that calendar month, subject to these Terms.
Guardian Labs may modify commission tiers, rates, qualification requirements, or Program structure upon notice to participants.
3. Qualifying Sales
Commissions are calculated using net qualifying sales.
Net qualifying sales exclude, as applicable:
- Taxes
- Shipping charges
- Refunds
- Returns
- Chargebacks
- Canceled orders
- Fraudulent transactions
- Discounts and promotional reductions
- Store credit or other non-cash portions of an order when designated as non-commissionable
- Any transaction Guardian Labs determines does not represent a legitimate customer purchase
Commissions are not earned until the underlying transaction qualifies under these Terms.
If a commission has already been credited or paid on an order that is subsequently refunded, charged back, canceled, determined fraudulent, or otherwise becomes ineligible, Guardian Labs may deduct that commission from current or future affiliate earnings.
4. Referral Attribution
Affiliates may receive a unique referral link, QR code, promotional code, or other tracking mechanism.
Guardian Labs’ tracking system will serve as the primary record for determining attribution and commissions.
When a customer expressly selects an affiliate or coach through an available Guardian Labs referral system, commissions may be attributed to that affiliate.
Customers may change their selected affiliate or coach when the Program permits.
When a valid affiliate referral link or other tracked referral conflicts with a previously selected affiliate, Guardian Labs may give attribution to the tracked referral source according to the Program’s current attribution rules.
Guardian Labs reserves the right to resolve attribution disputes, duplicate referrals, tracking errors, or unusual transactions.
5. Affiliate Payouts
Eligible commissions may be paid using payment methods made available by Guardian Labs, which may include cash payment or Guardian Labs store credit.
Affiliates are responsible for providing accurate payment and tax information when required.
Guardian Labs may withhold payment while investigating suspected fraud, manipulation, Program abuse, chargebacks, attribution disputes, or violations of these Terms.
Affiliates are responsible for all taxes arising from affiliate compensation. Guardian Labs may require applicable tax documentation before issuing payments.
6. Research-Use-Only Products
Guardian Labs products designated as research-use-only are sold strictly for research purposes and are not intended for human consumption or human use.
Affiliates must accurately represent the intended research-use status of Guardian Labs products.
Affiliates may not:
- Recommend or promote Guardian Labs research products for human consumption or administration.
- Provide dosing, administration, treatment, or medical instructions for Guardian Labs research products.
- Claim that a Guardian Labs product diagnoses, treats, cures, mitigates, or prevents any disease or medical condition.
- Represent Guardian Labs research products as FDA-approved drugs, medications, dietary supplements, or products approved for human use when they are not.
- Make unsupported claims regarding safety, efficacy, health outcomes, weight loss, muscle growth, injury recovery, disease treatment, or other physiological outcomes.
- Encourage customers to disregard product labeling or Guardian Labs research-use restrictions.
Affiliates discussing scientific research must distinguish research findings from claims about Guardian Labs products.
Violation of this section may result in immediate suspension or termination from the Program and forfeiture of commissions associated with prohibited conduct where permitted by law.
7. Advertising and FTC Disclosure Requirements
Affiliates must comply with all applicable advertising, consumer-protection, endorsement, and disclosure requirements, including applicable Federal Trade Commission requirements.
Affiliates must clearly disclose their material relationship with Guardian Labs when promoting Guardian Labs or using affiliate links or codes.
Disclosures must be clear, conspicuous, and reasonably understandable to the audience.
Examples may include:
“Guardian Labs Affiliate”
“I earn a commission from purchases made through my link.”
“Affiliate link. I may receive a commission.”
A disclosure must not be intentionally hidden in hashtags, placed where consumers are unlikely to see it, or otherwise presented in a misleading manner.
Affiliates are responsible for ensuring that their content complies with the requirements applicable to the platform and jurisdiction in which they advertise.
8. Prohibited Promotional Practices
Affiliates may not engage in:
- False or misleading advertising.
- Deceptive claims or representations.
- Spam or unsolicited commercial messaging prohibited by applicable law.
- Fake reviews or testimonials.
- Fabricated scientific claims.
- Misrepresentation of Guardian Labs or its products.
- Trademark bidding or paid-search advertising using Guardian Labs trademarks unless expressly authorized.
- Creating websites, social accounts, domains, or advertisements that impersonate Guardian Labs.
- Representing themselves as employees, owners, agents, or official representatives of Guardian Labs unless specifically authorized.
- Unauthorized coupon, rebate, or discount websites.
- Cookie stuffing, forced clicks, misleading redirects, or other artificial attribution techniques.
- Purchasing through their own affiliate link or otherwise manipulating transactions primarily to generate commissions unless Guardian Labs expressly permits the transaction.
- Offering unauthorized discounts, rebates, cash incentives, or representations regarding Guardian Labs pricing.
Affiliates may only use promotional materials, logos, product images, trademarks, and brand assets in accordance with Guardian Labs’ current brand requirements.
9. Social Media and Platform Compliance
Affiliates are responsible for complying with the terms, advertising policies, community standards, and restricted-product policies of any platform they use.
Approval as a Guardian Labs affiliate does not mean that any specific advertisement, post, video, claim, or promotional method has been approved by Guardian Labs or by the applicable platform.
Guardian Labs may require an affiliate to modify or remove content that Guardian Labs reasonably determines violates these Terms, applicable law, platform requirements, or Guardian Labs brand standards.
10. Independent Contractor Relationship
Participation in the Program does not create an employment relationship, partnership, joint venture, franchise, agency relationship, or other fiduciary relationship between an affiliate and Guardian Labs.
Affiliates operate independently and are responsible for their own business activities, expenses, taxes, insurance, representations, and legal compliance.
Affiliates have no authority to enter into agreements, make commitments, incur obligations, or make representations on behalf of Guardian Labs.
11. Intellectual Property
Guardian Labs retains all ownership rights in its trademarks, logos, product names, photographs, graphics, website content, and other intellectual property.
Approved affiliates receive a limited, revocable, non-exclusive, non-transferable right to use authorized Guardian Labs marketing materials solely for participation in the Program.
Affiliates may not alter Guardian Labs trademarks or create confusingly similar branding without written authorization.
All rights granted under this section terminate when participation in the Program ends.
12. Fraud and Program Manipulation
Guardian Labs maintains a zero-tolerance policy toward deliberate commission manipulation.
Prohibited activity includes:
- Creating fraudulent transactions.
- Generating fake customer accounts.
- Manipulating referral attribution.
- Using unauthorized automated traffic.
- Misrepresenting transaction sources.
- Coordinating transactions primarily for the purpose of artificially increasing commission tiers.
- Exploiting technical errors, discount systems, or Program functionality.
Guardian Labs may investigate suspicious activity and withhold affected commissions while an investigation is pending.
13. Returns, Refunds, and Chargebacks
Affiliate commissions are based on completed qualifying sales.
If an order is refunded, returned, canceled, disputed, charged back, or otherwise reversed, the associated commission may be canceled or deducted from future affiliate earnings.
Affiliate commissions do not override Guardian Labs’ customer refund, shipping, chargeback, or other applicable policies.
14. Free Shipping and Affiliate Benefits
Guardian Labs may provide approved affiliates with free shipping, promotional benefits, store credit, product allowances, or other Program benefits.
Such benefits are privileges of participation and may be changed, limited, suspended, or discontinued.
Unless Guardian Labs expressly states otherwise, Program benefits have no cash value and may not be transferred or resold.
15. Monitoring and Enforcement
Guardian Labs may review publicly available affiliate promotional content to verify compliance with these Terms.
Guardian Labs may request correction or removal of content that violates Program requirements.
Depending on the nature and severity of a violation, Guardian Labs may:
- Issue a compliance notice.
- Require content to be corrected or removed.
- Temporarily suspend an affiliate account.
- Withhold commissions associated with disputed or prohibited transactions.
- Terminate participation in the Program.
Serious violations involving fraud, deception, unauthorized medical claims, deliberate circumvention of research-use restrictions, or conduct creating substantial legal or reputational risk may result in immediate termination.
16. Termination
Either Guardian Labs or the affiliate may terminate participation in the Program.
Upon termination, the affiliate must discontinue use of Guardian Labs affiliate links, promotional codes, trademarks, logos, and other Program materials except where continued use has been expressly authorized.
Legitimate commissions earned before termination may remain payable subject to these Terms, applicable refund and chargeback periods, and any investigation into Program violations.
Termination for fraud or other material violations may result in forfeiture of affected commissions to the extent permitted by applicable law.
17. Modification of the Program
Guardian Labs may modify, suspend, or discontinue the Program, commission structure, eligibility requirements, benefits, attribution rules, or these Terms.
Material changes may be communicated through the affiliate dashboard, email, website, or another reasonable method.
Continued participation following the effective date of updated Terms constitutes acceptance of the updated Terms.
18. Limitation of Liability
To the maximum extent permitted by applicable law, Guardian Labs will not be liable for indirect, incidental, special, consequential, or punitive damages arising from participation in the Program, including losses resulting from tracking interruptions, platform restrictions, account suspensions, technical errors, or lost anticipated commissions.
Nothing in these Terms excludes liability that cannot legally be excluded.
19. Indemnification
To the extent permitted by applicable law, affiliates agree to indemnify and hold harmless Guardian Labs and its owners, officers, employees, and representatives from claims, damages, liabilities, penalties, or reasonable expenses arising from the affiliate’s unlawful advertising, unauthorized representations, violation of these Terms, infringement of third-party rights, or other misconduct in connection with the Program.
20. Governing Law
These Terms are governed by the laws of the State of Idaho, without regard to conflict-of-law principles.
Any dispute arising from participation in the Program will be handled in accordance with applicable law and any additional dispute-resolution provisions adopted by Guardian Labs.
21. No Guarantee of Earnings
Guardian Labs makes no representation, warranty, or guarantee regarding the amount of income an affiliate may earn.
Affiliate earnings depend on qualifying sales, customer activity, compliance with these Terms, and other factors.
Examples of commission amounts or potential earnings are illustrative only and do not constitute a promise or guarantee of future earnings.
22. Acceptance
By submitting an affiliate application, activating an affiliate account, generating or using a Guardian Labs affiliate link or code, or otherwise participating in the Program, the affiliate acknowledges that they have read, understood, and agreed to these Affiliate Program Terms & Conditions.
